Members are invited to attend a Special General Meeting of the CSSA, convened by the General Committee under Rule 10, to be held in the Littleton Sailing Club at 21.00 hours on Wednesday, 26th October 2011

AGENDA

1.Amendments to the CSSA Constitution as follows:

3(1)(a)  Delete “the holder of two shares in”, and insert: “a member of”. 
3(2)(b)  Delete “two-share holding”.
4(1)  Insert “full” immediately after “120% of the”.
Delete “two shares in”, and insert “membership of”. 
4(3) Delete “shareholding in” and insert “membership of”


Note that:

1.The purpose of the meeting is to make constitutional changes to facilitate the introduction of the CSSC’s Linked Membership scheme and provide for a reduction in the number of shares that CSSA members are required to hold in CSSC from two to one.

2 Under rule 11(1), proxy votes are allowed (and are particularly welcome for this SGM).

3 Under rule 11(3) a quorum of 20 members is required.

4 Under Rule 16, amendments to the CSSA Constitution need a majority of 2/3 of the votes cast.

5 No other business will be conducted.
